I founded Soldavini Law to be a sanctuary of simplicity in the legal world. 

Since 2014, I've been assisting small businesses and nonprofits with their transactional legal needs. From the most basic contracts to intricate legal nuances, I strive to cut through the clutter to provide clear, actionable guidance. In 2017, I took my passion for demystifying the law one step further by teaching business law and ethics courses, honing my ability to communicate complex concepts in a straightforward manner.
Inspired by my entrepreneur clients, I launched my own practice in 2019. Here, you'll find a dedicated partner committed to guiding you towards smooth operations and a thriving enterprise.

STARTING OR RESTRUCTURING A BUSINESS

Selecting the appropriate entity is crucial for ensuring liability protection, managing tax implications, facilitating smooth management, ensuring transferability, and adhering to necessary formalities. In addition to assisting you with the registration of your business in the relevant state(s) and crafting its operational internal governing document, I will provide you with the knowledge necessary to maintain liability protection even after your business entity status has been determined. My advice will be personalized based on factors such as ownership structure, the role each owner will play in management, and considerations for succession planning. In instances where there are multiple owners, we will carefully consider the optimal procedures for an owner to exit the company, taking into account whether you are a startup or an established business, as there is no "one size fits all" solution. Our ultimate aim is to proactively mitigate potential conflicts in your business's future, emphasizing a proactive rather than reactive approach.

NON-PROFIT INCORPORATION AND TAX EXEMPT STATUS

Nonprofits are accountable to donors, funders, volunteers, program recipients, and the public. Together, we will address all the requirements to get you started to further your cause. This includes incorporating your nonprofit with the necessary provisions under state law, as well as the necessary provisions under federal law if you plan to apply for 501(c)(3) status. I can assist you with the necessary forms to submit to the IRS to become tax-exempt, review agreements proposed by donors, private individuals, or government agencies, and provide general guidance to get you started or keep you going. While awaiting your tax-exempt status approval, I can draft a fiscal agency agreement to help you accept donations tax-free.

Using a boilerplate template purchased online or ChatGBT rarely provides sufficient protection when things go awry. Overlooking essential considerations in agreements can lead to costly disputes later on costing you money, time, and peace. Therefore, it's essential to tailor agreements to your specific needs and circumstances as early as possible.

This service includes yearly corporate binders with materials such as corporate minutes, annual reports, beneficial ownership filings, and other required documentation to maintain the corporate veil's protections.

I can advise you on best practices for corporate social responsibility (or CSR) to help your organization be socially responsible in all aspects of society including economic, social, and environmental. To engage in corporate citizenship means that, in the normal course of business, your organization is operating in ways that enhance society and the environment, instead of contributing negatively to them by making small (or big) internal promises on how the company will operate. In other words, we can draft a CSR policy big or small so that it suits the needs of your organization's current situation. We can also make your business a certified B Corporation.

HI, I'M CALLHAN

A unique name for sure, pronounced "Cal-In". I was told in Ireland it's the name a Mr. Callahan would give a daughter if he didn't have any sons. I am a member of the Florida Bar, having earned my Juris Doctor from Stetson University College of Law in St. Petersburg, FL, in 2014 and my LL.M in International Human Rights Law from Northwestern University School of Law in Chicago, IL, in 2018. Based in Naples, FL, I have been honored as a 2023 Gulfshore Business “40 Under 40” Honoree. I am on the board of directors for Pads 4 Refugees and Naples Pride, and was recognized as Naples Pride’s 2023 Ally of the Year. I have been featured in Gulfshore Life's February 2023 edition, in the feature titled “SWFL Mothers Weigh in on Parenting with Style, Grace, and a Community-First Mindset.” Beyond my professional commitments, I am passionate about international travel, scuba diving, and, above all, slowing down with my husband, my three-year-old daughter, and one-year-old son.
